T-CURX acquires Pantherna Therapeutics to accelerate clinical validation of in-vivo CAR-T oncology therapies

German biotechnology developer T-CURX has entered into a definitive agreement to acquire its domestic peer, Pantherna Therapeutics, to systematically advance the development and clinical translation of next-generation chimeric antigen receptor T-cell (CAR-T) strategies. Following the execution of the transaction, Pantherna will maintain its localized corporate operations under the established Pantherna Therapeutics brand, functioning as a wholly owned subsidiary of T-CURX. Both corporate entities maintain their primary operational headquarters within Germany.

The underlying synchronized capabilities, equity restructuring parameters, and combined intellectual property frameworks featured in the agreement include:

  • Convergence of Complementary Tech Platforms: Pantherna Therapeutics specializes in messenger RNA (mRNA) engineering and lipid nanoparticle (LNP) molecular delivery cellular technologies. The strategic combination of these assets establishes T-CURX as the first European biotechnology enterprise to operate with proprietary CAR-T and advanced LNP technologies integrated under a single corporate infrastructure. This unified framework allows for the seamless integration of key capabilities across the entire pharmaceutical value chain, spanning from initial discovery to active clinical development of CAR-T therapeutics.

  • Targeted Acceleration of In-Vivo Clinical Trials: Executive leadership confirmed the corporate integration will focus on the clinical validation of in-vivo CAR-T therapies. Ulf Grawunder, Co-Founder and CEO of T-CURX, stated that the acquisition represents a decisive step toward expediting the clinical development of differentiated, next-generation in-vivo CAR-T assets in oncology, alongside alternate therapeutic indications. Reaffirming the strategic trajectory, Pantherna Therapeutics CEO Ansgar Santel noted that joining T-CURX is a natural evolution of their historical collaboration, allowing the combined entity to deploy both stable and transient cell engineering strategies based on proven proprietary platforms.

  • Consolidated Intellectual Property Footprint: Collectively, the combined operational network of T-CURX and Pantherna commands an active intellectual property portfolio comprising 16 distinct patent families, structurally protecting their combined technologies and clinical assets.

  • Financial Infrastructure and Shareholder Realignment: Financially, T-CURX is capitalized by private individual investors alongside an international syndicate of premier, blue-chip biotech institutional investors. This backing follows a successful $20.5 million (USD) Series A financing round closed by T-CURX at the tail end of 2025. Under the structural parameters of the acquisition, legacy private investors who previously supported Pantherna’s independent operations will transition to become new equity shareholders within T-CURX.
